The financial interventions of BMI-SBI are tailor-made and designed in such way that the tools used and the returns expected reflect the risk involved in the respective projects and countries. They are focused on the creation or acquisition of foreign companies or the restructuring and development of existing foreign companies.
When co-financing projects, our financial contribution is always lower than the Belgian partner's contribution.
We work on a case-by-case basis to optimize our response to the financial needs of Belgian investors. The financial products offered mirror the broad spectrum of possibilities at our disposal.
We may take a direct equity share in the foreign project, which is always a minority stake. It must allow the Belgian partner to retain the majority shareholding and the majority of the voting rights. Our equity share may be for a period of five to ten years and is generally linked to a representation on the Board of Directors. Clearly defined exit terms, related to the value created by the project, are negotiated from the outset.
Quasi-capital: Subordinated and/or convertible loans
To reinforce the financial resources of the project without diluting the shareholders' position, our financial contribution may take the form of a subordinated loan for a term ranging from five to ten years, with a maximum grace period of three years. Repayment is determined at the outset and may be partially linked to the success of the project by incorporating a variable component to the interest rate, or through an option to convert the loan into shares. Loans are always denominated in euro.
We grant long-term loans in complement to the two other forms of support, at fixed or variable rates and for terms of five to ten years, with a maximum grace period of three years. Loans are always denominated in euro. Interest rates are determined according to market conditions.
BMI-SBI may intervene in favour of the Belgian company to obtain additional financing. Such intermediation may result in co-financing by Belgian or local financial institutions. Moreover, BMI-SBI's status as government related institution creates a climate trust and enhance the confidence of foreign partners and/or authorities towards the project and the Belgian company.
The expertise we offer is based on the experience built up by BMI-SBI over some 40 years working of worldwide operations, which can be useful, not to say crucial, for companies in the early stages of their international extension or planning to start operations in new countries. We also provide a network of contacts with Belgian, foreign and international organizations and companies.
